Apple iPad Sweepstakes Official Rules, Terms and Conditions

Below are the Official Rules, Terms and Conditions for Rapid Refill, LLC’s Apple iPad Sweepstakes in which one winner will receive a 16GB white Apple iPad 2, currently valued at $499.00.

Entrance in this sweepstakes constitutes acceptance of the following terms and conditions.

1. Sweepstakes entries accepted through December 20, 2011. Winner will be drawn and notified on December 21, 2011.
2. Eligibility for contest: No purchase is necessary. Open to United States residents 18 years of age or older at time of submission, unless otherwise stated and/or posted. Void where prohibited. Winners of contests will be chosen at random from electronic entries, emails and/or an in-store sign up and subsequent input of data that facilitates electronic entries. Rapid Refill, LLC is not responsible for, nor will it consider for selection, any incomplete or incorrect entries. Only one entry per individual, unless otherwise posted and/or stated in the specific contest. Double entries may be discarded. Rapid Refill, LLC management, employees, associated vendors and their employees are prohibited from winning any prizes awarded by Rapid Refill, LLC. Franchisees, their families and their employees are excluded from all contests open to the general public.
3. Submission requirements: All entrants must provide a valid email address and accurate additional information as may be required by the specific contest. 
4. Selection of winner(s): Winners of Rapid Refill, LLC sponsored contests will be chosen at random by an automated system whereby all valid entries have an equal chance of winning. Winners will be contacted at the email address entered in association with the contest, unless otherwise posted and/or stated in the specific contest. If a selected contest winner provided an invalid email address their entry will be disqualified and the automated system will again chose a winner from the remaining entries. The person who replies to the email sent with the winner announcement will be deemed the winner unless the person responding to the email specifies another person as the winner in their reply email. Rapid Refill, LLC will mail the contest prize to the address supplied by the recipient of the winner announcement email. 
5. Time for acceptance of agreement: Claiming of prizes requires an email response to the winner announcement email within fifteen (15) days of the winner announcement email being sent. Failure to respond shall result in forfeiture of the specific prize and the original entry will be deemed null and void and an alternative winner will be selected from the entries that remain. 
6. Purchases: There is no purchase necessary for this contest. Purchases will also not improve an individual’s chances of winning. 
7. False statements: If an entering party or prize winner makes any fraudulent statements in connection with this contest they will be disqualified from the contest, a new winner will be selected and any prize awarded must be returned or a cash amount equivalent to the prize must be submitted. 
8. Photographs, other forms of media or information submitted in “best of” contests: Entries selected for display to win “best of” contests and any other contests requiring a photograph, text message or any other form of media from entrants will be judged entirely at the discretion of Rapid Refill, LLC. 
9. Ownership of photographs, other forms of media or information: By submitting any photograph or other form of media to Rapid Refill, LLC, you hereby grant to Rapid Refill, LLC and its affiliates, subsidiaries, licensees and assigns, an irrevocable, perpetual and royalty-free right to use, reproduce, edit, display, transmit, prepare derivative works of, modify, publish and otherwise make use of the submitted photograph or other information in any and all media, whether now known or hereinafter created, throughout the world and for any purpose. In addition to other things, the rights granted to Rapid Refill, LLC includes, but is not limited to, the right to resize, crop, censor, compress, edit, feature, caption, affix logos to, and to otherwise alter or make use of the submitted photograph or other form of media. By submitting any photograph, video, or other form of media or information to Rapid Refill, LLC, you hereby represent and warrant that: 1) you are the sole rightful owner of the media or information in question; 2) the submitted item does not and shall not infringe on any copyright, any rights of privacy or publicity of any person, or any other right of any third party; and 3) you have the right to grant any and all rights and licenses granted to Rapid Refill, LLC herein, including but not limited to, all necessary rights under copyright, free and clear of any claims or encumbrances. Photographs, forms of media or information submitted by you in connection with this contest to Rapid Refill, LLC shall be the sole property of Rapid Refill, LLC, and the same shall have no obligation to preserve, return or otherwise make available to you or others any photographs, other media, or information so submitted. 
10. Notices: Any notice shall be sufficient by delivery to the address of the party responding to the winner notification email, by hand, phone or U.S. mail.
11. Assignment: This agreement may not be assigned to any other individual. 
12. General release: By participating in this contest, you hereby release and agree to hold Rapid Refill, LLC harmless from and against any and all costs, injuries, losses or damages of any kind, including, without limitation, property damage, death and bodily injury, whether due to negligence or otherwise, due in whole or in part, directly or indirectly, to participation in the contest or any contest-related and/or travel-related activity, or participation in any prize-related activities, or the receipt, use or misuse of any prize. 
13. Awarding prizes: Winners are solely responsible for all taxes and/or fees that may be incurred. All cash winners are required to provide verification of proper and legal picture identification and their Social Security number within thirty (30) days of notification of winning the cash prize. Winner may forfeit any and all cash winnings if verification cannot or has not been made within thirty (30) days. Upon proper verification, cash winnings will be awarded by check, and mailed to winner’s mailing address within seven (7) business days. 
14. Disclaimer of warranties: Rapid Refill, LLC makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize or odds of winning in connection with this contest. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND RAPID REFILL, LLC HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. 
15. Effective date of this agreement: This agreement becomes effective when an individual enters the specified contest. 
16. Governing law, venue, waiver of the jury trial and attorney fees: This agreement is to be governed by the law of the State of Minnesota. The parties intentionally waive the right of a jury trial, in any litigation arising under this agreement; the prevailing party shall recover its attorney fees and costs. 
17. Arbitration: By participating in this contest each participant agrees that any claim, dispute, or controversy (whether in contract, tort or otherwise) arising out of this contest will be resolved exclusively by final and binding arbitration administered by American Arbitration Association (“AAA”) and conducted before a sole arbitrator. 
18. Entire agreement: No prior representation: This is the entire agreement between Rapid Refill, LLC and the individuals entering this contest. There is no representation past or present, by Rapid Refill, LLC or any person acting for Rapid Refill, LLC, which does not appear herein.
19. Force Majeure/Printing and Production Errors: Rapid Refill, LLC reserves the right, without prior notice and at any time, to terminate the contest, in whole or in part, or modify, suspend or extend the contest in any way, or deem the affected contest void or invalid if a printing or production error is found on any display or language regarding the contest. 20. Severability: The invalidity or unenforceability of any provision of these terms shall not affect the validity and enforceability of any other provision. In the event that any provision is deemed invalid or unenforceable any remaining provisions hereof shall remain in full force and effect. 
21. Privacy: Information collected in connection with this contest may be shared with Rapid Refill, LLC’s promotional partners to the extent necessary to fulfill prizes or to franchisees for use in store promotion. 
22. Official rules: The Official Rules for any specific contest will be available my mailing a self-addressed, stamped envelope to Rapid Refill, LLC, 8000 West 78th Street, Suite 110; Edina, Minnesota; 55439. Vermont residents with a return address in Vermont may omit postage.
